GENERAL TERMS AND CONDITIONS OF BUSINESS (COURSES)
1.1 Applications for registration by telephone are subject to a provisional reservation only. They only become definitive after a written order form containing the name of the participant, the title, date and price of the course, the name, address and stamp of the company or organization to be invoiced.
1.2 By signing the registration form, the participant acknowledges having read the general conditions of training and declares he adheres to it without reservation.
1.3 Registration will be deemed final once a notice has been sent by Michelange to the participant.
1.4 Registration is subject to availability.
2- TRAINING PERIOD
2.1 The dates, the schedule and the duration of the training are communicated in the information brochures published by the company Michelange. Michelange reserves the right to postpone the date of the training.
2.2 The company Michelange reserves the right to apply at any time changes it deems necessary to its programs and services and to the scheduling of its sessions. Changes or deletions are likely to occur every six months. Any training started will be due and invoiced to the client.
3- TRAINING PRICES
3.1 The services are provided at the price in effect at the time of the training order. The list of prices can be found on the current brochure at the time of the order and can be communicated on request. Meals, any transportation and accommodation costs of the trainee are not included in the rates.
3.2 The prices shown on the information brochures are indicative and as such may be readjusted unilaterally by Michelange.
3.3 The prices communicated thirty (30) days before the training course are firm and not revisable and are indicated all taxes included.
3.4 The price of the service, subject to VAT, will be expressed in Euro and the invoice will show the VAT at the rate in force at the time of invoicing.
4- PAYMENT TERMS
4.1 Payment is made by cash, transfer or check, or by administrative order for public establishments. An invoice is issued at the end of the performance in return for payments received.
4.2 After notice has been given, any sum not paid at maturity in accordance with section 4.1 shall be increased by twice the legal interest rate in effect on that date, without prejudice to any damages and interest.
5.1 The company Michelange reserves the right to cancel a training session in the event that the number of participants is insufficient or for any other reason, in particular logistical, and commits to inform registered persons before the scheduled date of the training session.
5.2 From the date of signature of this contract, the trainee has a period of 10 days to cancel, he/she shall inform the training organization by registered letter with acknowledgment of receipt. In this case, no fee will be required of the trainee.
5.3 Registration canceled less than 5 working days before the start of the course will not preclude full invoicing of the canceled session.
5.4 In case of a cancellation made too late, we reserve the possibility to invoice a lump sum indemnity. 50% of the amount of the course in case of cancellation within 10 to 6 days before the start of the training. 75% of the amount of the training course in the event of cancellation within 5 working days before the start of training. 100% of the amount of the training session in the event of the absence of the trainee on the day of the session, except in case of “force majeure” (the proof of absence must reach the company Michelange within a week maximum in the case of an absence due to “force majeure”).
5.5 Will be considered as cases of “force majeure”: major political events (revolution, war), natural disasters (earthquake, storm).
6- INTELLECTUAL PROPERTY – CONFIDENTIALITY
6.1 Michelange retains all the intellectual property rights attached to the information communicated during the courses and to the course materials.
6.2 Any reproduction, modification or disclosure to third parties, for any reason whatsoever and in any form whatsoever, of all or part of the information communicated in any form during the course, is prohibited.
7- LIMITATION OF LIABILITY
7.1 The participant acknowledges that for some courses, a particular level of knowledge or technical experience may determine the satisfactory assimilation of the education provided.
7.2 The participant releases Michelange from any liability in the event that the training course does not meet its expectations.
7.3 Michelange shall not be liable for any direct or indirect costs and damages resulting from the cancellation of a training session or its postponement at a later date.
8.1 Applicable law – Attribution of jurisdiction: these general conditions are subject to French law; for any dispute that may arise in connection with these general conditions, express attribution of jurisdiction is made to the Courts of Paris, including in respect of summary proceedings and plurality of defendants.
8.2 Rules of Procedure – The Participant undertakes to respect the conditions of the Rules of Procedure which he declares to have read and accept the terms.
